Terms for using the AiSellX marketplace, transaction workflows, and support tools

By accessing or using AiSellX, you agree to these Terms of Service, our Privacy Policy, and any additional rules, disclosures, workflow notices, or feature-specific policies that apply to the services you use. If you do not agree, you should not access the marketplace or continue using the platform. These terms apply to visitors, registered users, sellers, buyers, support participants, and anyone who uses AiSellX in connection with listing creation, diligence, communication, transaction support, verification workflows, or related service operations.

You may use AiSellX only if you are legally capable of entering into binding agreements in your jurisdiction and only for lawful business, investment, operational, or professional purposes. You may not use the platform if doing so would violate applicable sanctions, export controls, anti-fraud rules, anti-money laundering obligations, data access restrictions, intellectual property laws, or other legal requirements that apply to you, the asset, or the transaction.

You are responsible for keeping your account information accurate, current, and complete, and for protecting the credentials, devices, and third-party identities used to access your account. You are responsible for activity that takes place through your account unless you promptly notify us of unauthorized use and cooperate with any reasonable security review. If you use Google, GitHub, or another supported sign-in method, you are responsible for ensuring that the connected external account is controlled by you and that any information returned through that login is lawful, accurate, and suitable for use on the platform.

AiSellX provides marketplace infrastructure that may include project listing creation, search and discovery, gated buyer-seller communication, verification workflows, analytics-based evidence intake, support handling, transaction coordination, escrow-related workflow support, and post-listing operational tools. We may change, add, pause, restrict, or remove features over time. Not every feature is available in every region, to every user, or for every transaction type. We may also introduce limits, reviews, or approval steps where needed to protect the platform or its users.

AiSellX may help organize communication, materials flow, milestone sequencing, or transaction support, but each user remains responsible for independent diligence, legal review, technical validation, tax analysis, valuation judgment, and commercial decision-making. We do not guarantee that any listing is complete, accurate, profitable, investment-grade, transferable, legally compliant, or suitable for any buyer's intended use. Buyers and sellers are responsible for independently confirming claims, negotiating their own deal terms, and deciding whether to proceed with a transaction.

Where escrow-style or transfer-support workflows are offered, those workflows exist to help coordinate process steps, not to eliminate the need for diligence or transaction-specific documentation. Release timing, handover expectations, documentation requirements, dispute triggers, and milestone approvals may depend on the rules disclosed for that transaction, the escrow or payment provider involved, or any separate agreement between the parties. Users must provide accurate materials, respond to verification requests in good faith, and complete required steps in a timely manner. If a third-party escrow or payment provider is used, that provider's own terms, controls, and limitations may also apply.

AiSellX may charge subscription fees, listing-related charges, service fees, success-based fees, escrow support fees, or other commercial charges depending on the product plan, feature set, or transaction workflow in use. Applicable pricing, taxes, billing terms, refund rules, and payment conditions will be shown in the product, checkout flow, invoice flow, or another related agreement. Unless we explicitly state otherwise, fees already earned, accrued, or consumed are non-refundable.

You may not use AiSellX to impersonate another person or entity; publish false, manipulated, misleading, or incomplete listing information; upload evidence you do not have the right to use; evade platform fees or workflow controls; scrape, reverse engineer, disrupt, or probe the platform in an abusive way; abuse support or messaging channels; or facilitate fraud, sanctions evasion, money laundering, intellectual property abuse, unlawful access, or other illegal conduct. You also may not use marketplace data, buyer information, seller information, or Google-authorized data in ways that are inconsistent with these terms, applicable provider rules, or the purpose for which the data was collected.

AiSellX, including its software, interface, workflows, branding, and service materials, remains the property of AiSellX or its licensors. These terms do not transfer ownership of the platform to you. You retain ownership of the content and materials you lawfully submit, but you grant us the rights reasonably necessary to host, display, process, format, review, moderate, translate, secure, and operate that content within the platform and related service workflows. You are responsible for ensuring that anything you upload, publish, submit, or authorize us to process does not violate another party's rights.

AiSellX is provided on an "as is" and "as available" basis to the extent permitted by law. Marketplace information may come from users, external providers, workflow integrations, or third parties and may change over time. While we may provide structure, moderation, or verification support, we do not guarantee uninterrupted platform availability, listing accuracy, buyer or seller intent, transaction completion, legal sufficiency, commercial value, or any particular business outcome.

To the maximum extent permitted by law, AiSellX and its affiliates, operators, employees, contractors, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost revenue, lost profits, lost goodwill, lost data, transaction failure, delayed completion, or losses arising from independent user decisions. Where the law does not allow a full exclusion of liability, our liability will be limited to the amount you paid us for the specific service directly giving rise to the claim during the relevant period, or another minimum amount required by applicable law, whichever is greater.

We may suspend, limit, or terminate access to AiSellX, a listing, an account, a workflow, or an integration connection if we reasonably believe it is necessary to protect users, enforce platform rules, investigate abuse, respond to risk signals, preserve evidence, comply with legal obligations, or maintain service integrity. You may stop using the platform at any time, but termination or deletion does not automatically remove obligations that already arose, including payment obligations, dispute-related duties, records retention requirements, or rights needed to investigate past conduct.

We may update these terms when our product, legal environment, integrations, pricing model, or operational practices change. If we make material updates, we may revise the effective date and provide additional notice where appropriate. Your continued use of AiSellX after updated terms become effective means the revised version applies to your future use of the platform.

Unless another signed agreement specifically governs a transaction or service relationship, disputes relating to AiSellX or these terms will be handled according to the governing rules, venue provisions, and dispute handling procedures disclosed by the platform or otherwise required by applicable law. Before escalating a dispute, users should first provide enough context through the relevant support or transaction workflow so that the issue can be reviewed in an orderly manner.
